Terms

These terms set out the basis on which Brand Digital Pty Ltd (ACN 697 798 093) (“Brand Digital”, “we”, “us”) provides services to you (“you”, “the client”). By engaging us — verbally, in writing, or by paying a deposit or invoice — you accept these terms.

1. Our services

We provide SEO, content, site speed and digital strategy services as described on this website and in any written proposal or statement of work we issue to you. The specific scope, deliverables and timing of any engagement are set out in the proposal applicable to that engagement; these terms apply in addition to that proposal.

2. Quotes and engagement

Quotes are valid for 30 days from the date of issue unless we tell you otherwise in writing. An engagement begins when you accept a proposal in writing, pay a deposit, or otherwise indicate acceptance and we begin work.

3. Fees and payment

• Our fees are stated in the applicable proposal and are exclusive of GST unless stated otherwise.
• Fixed-price projects: a deposit is payable on engagement; the balance is payable as set out in the proposal. PLEASE REVIEW — confirm standard deposit percentage and milestone schedule.
• Retainers: payable monthly in advance.
• Invoices are due within 14 days of issue unless stated otherwise.
• We may pause work on overdue accounts and may charge a reasonable late-payment fee in line with current commercial practice.

4. No guarantee of rankings

Search engine results are determined by third-party search engines using algorithms outside our control. We do not guarantee specific rankings, traffic levels, conversion rates or revenue outcomes from SEO work. Any examples, projections or case studies we share describe past or representative results and are not a promise of similar future outcomes. Anyone who claims to guarantee specific rankings is either misrepresenting the work or planning to use tactics that are not in your interest.

We will, however, work to a clear scope, share our reasoning openly, and report transparently on what we do and what it returns.

5. Your responsibilities

To do our best work, we need reasonable cooperation from you: timely feedback on drafts and deliverables, access to relevant systems where required, accurate information about your business, and good-faith review of recommendations. Delays in any of these may affect the timing of deliverables.

6. Intellectual property

Once you have paid in full for a deliverable, you own the deliverable and may use it for the purposes for which it was created. We retain ownership of our general methodologies, frameworks, internal templates and pre-existing materials. We may, in summary form and without disclosing confidential information, reference the work performed for you in our portfolio and case studies; we will respect any reasonable request to keep specific details confidential.

7. Confidentiality

Each party will keep the other’s confidential information confidential, both during and after the engagement, except where disclosure is required by law.

8. Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with an engagement is limited to the fees paid by you to us for the specific deliverable or month in which the claim arose. We are not liable for any indirect, consequential or special loss. Nothing in these terms is intended to limit any rights you have under the Australian Consumer Law that cannot lawfully be excluded. PLEASE REVIEW — confirm the liability cap is consistent with your professional indemnity insurance.

9. Termination

Either party may terminate an engagement on reasonable notice — typically 30 days for a retainer. On termination, you remain liable for fees and reimbursable expenses incurred up to the termination date. Either party may terminate immediately for material unremedied breach.

10. Governing law

These terms are governed by the laws of Queensland, Australia, and the courts of Queensland have non-exclusive jurisdiction.
